CHINALUX EVENT ON ENHANCE THE SUBSTANCE WHEN SETTING UP INVESTMENT STRUCTURES IN LUXEMBOURG

On 7th May 2025, CHINALUX successfully hosted an insightful event. Held at the premises of CSC Luxembourg, in partnership with ELVINGER HOSS, the evening brought together legal experts, corporate service providers to examine the critical role of substance in ensuring the efficiency and compliance of cross-border structures.

The event opened with a warm welcome from Ms. Zhujun Xie, President of CHINALUX, who expressed her sincere thanks to all members, friends, and partners for their participation. Special appreciation was extended to CSC, CHINALUX’S corporate member and honorary auditor, for their generous support in hosting the event and ELVINGER HOSS, CHINALUX’s founder member, for their dedicated collaboration for this event to happen.

Setting the tone for the panel discussion, the evening’s experts explored the evolving landscape of substance requirements in Luxembourg, particularly in light of increasing global regulatory scrutiny. Mr. Simon Maire, Head of Commercial and Growth Development at CLS, CSC, acting gracefully as the moderator of the panel discussion. Mr. François-Xavier Goossens, Executive Director and Head of CLS at CSC shared his perspectives on how substance considerations are shaping the way investment structures are designed and managed in Luxembourg.

Adding valuable legal and tax insights, Ms. Charlotte Chen, Partner at ELVINGER HOSS, and Mr. Jean-Bernard Spinoit, Counsel at ELVINGER HOSS, provided a detailed overview of the legal expectations and regulatory benchmarks for substance in investment entities. Their presentation addressed key questions around operational presence, decision-making authority, and the ongoing challenges and best practices in building robust, compliant structures.

Mr. Jacques Bortuzzo, Vice President of CHINALUX, guided a focused Q&A session where attendees raised questions on practical implementation, regional differences, and the future of substance in Luxembourg’s fund and investment ecosystem.

The evening concluded with a lively cocktail reception, offering guests an opportunity to network and exchange views with speakers, fellow professionals, and CHINALUX members in an informal setting.
